These Terms govern access to and use of the Moris Konekte website, directory, business listings and related online services. They should be read together with the Moris Konekte Privacy and Data Protection Notice and, where applicable, the Subscriber Declaration and Authorisation and the Moris Konekte Subscriber Agreement.

1. Scope and acceptance of these Terms

These Website Terms and Conditions ("Terms") apply to any person who accesses, browses, searches, creates an account, submits information, purchases a subscription or otherwise uses Moris Konekte.

By using the website, you agree to comply with these Terms. Where Moris Konekte requires express acceptance during account creation, listing submission or payment, the user must actively accept the applicable Terms before proceeding.

If you act on behalf of a business, company, professional practice, association or other organisation, you confirm that you are authorised to act for and bind that organisation in relation to the relevant use of Moris Konekte.

These Terms operate alongside the Moris Konekte Privacy and Data Protection Notice, the Subscriber Declaration and Authorisation, the Subscriber Agreement and any package-specific or promotional conditions. If a specific written Subscriber Agreement applies, that agreement will govern the subscriber relationship in addition to these Terms. Nothing in these Terms excludes or limits any right or obligation that cannot lawfully be excluded or limited under Mauritius law.

2. Definitions

In these Terms:

• "Moris Konekte", "we", "us" and "our" mean Konekte (Moris) E-comm Ltd.
• "Website" or "Platform" means www.moriskonekte.com and the Moris Konekte online directory and related features.
• "User" means any person who visits, searches, browses or otherwise uses the Platform.
• "Subscriber" means a business or professional that has purchased, registered for or otherwise holds a Moris Konekte listing or subscription.
• "Listing" means a business profile or other business information displayed through Moris Konekte.
• "Subscriber Content" means information and materials supplied by or on behalf of a Subscriber, including names, descriptions, logos, photographs, brochures, catalogues, price lists, contact details and links.

3. About Moris Konekte

Moris Konekte is an online business discovery platform designed to help consumers and other users discover, locate, understand and contact businesses and professionals in Mauritius.

A Listing may include a business name, description, category, services, telephone or WhatsApp number, email address, location, opening hours, photographs, logo, brochure or catalogue, website, social-media links and other approved business information.

Moris Konekte is a discovery and information platform. Unless expressly stated otherwise, Moris Konekte:

• is not the seller or supplier of goods or services offered by a listed business;
• does not act as the agent, employee, partner or representative of a listed business;
• is not a party to transactions entered into directly between a User and a listed business; and
• does not guarantee or certify a listed business merely because it appears on the Platform.

4. Eligibility, authority and verification

A person creating an account, purchasing a subscription or submitting information on behalf of a business must have the legal capacity and authority required to do so.

Moris Konekte may request reasonable evidence of identity, business registration, authority, ownership, qualifications or other supporting information before creating, changing or publishing a Listing. Moris Konekte may rely on reasonable representations made by an authorised representative unless there is reason to question them.

5. Permitted use of the directory

Users may use Moris Konekte for normal business-discovery purposes, including:

• searching for businesses and professionals;
• viewing individual Listings;
• comparing available business information;
• identifying and locating businesses;
• contacting businesses in relation to genuine enquiries;
• following links provided by listed businesses; and
• sharing a link to an individual Moris Konekte Listing.

Access to publicly visible information does not give Users unrestricted rights to copy, extract, reproduce, redistribute or commercially exploit that information.

6. Information submitted for Listings

A Subscriber or its authorised representative may submit information and materials for inclusion in a Listing. By submitting information, the Subscriber confirms that:

• the information is accurate, current, lawful and not misleading;
• the person submitting it is authorised to do so;
• the Subscriber owns or has permission to use all submitted text, logos, photographs, trademarks, brochures, catalogues, price lists and other materials;
• any personal information submitted for publication is provided lawfully and with the required authority;
• the submitted material does not infringe another person's intellectual-property, privacy, confidentiality or other legal rights;
• the business is lawfully entitled to provide the goods or services represented in its Listing; and
• Moris Konekte may process and publish approved information for the purpose of operating the directory and providing the subscribed service.

Subscribers must keep their Listing information reasonably accurate and up to date and should promptly notify Moris Konekte of material changes.

7. Review, formatting and publication of Listings

Moris Konekte may review submitted information before or after publication and may make reasonable formatting, categorisation, resizing, technical or editorial adjustments for consistency, presentation, searchability and platform operation, provided the substance of the business information is not intentionally misrepresented.

Moris Konekte may refuse, delay, correct, restrict, suspend or remove content where it reasonably considers that the content:

• is inaccurate, misleading or materially incomplete;
• may be unlawful;
• infringes third-party rights;
• has been submitted without appropriate authority;
• presents a fraud, cybersecurity, privacy or reputational risk;
• contains abusive, offensive, discriminatory or inappropriate material;
• promotes unlawful activity; or
• otherwise breaches these Terms or the applicable Subscriber Agreement.

Review or publication by Moris Konekte does not mean that all Listing information has been independently verified or guaranteed.

8. Public nature of Listings

Moris Konekte is intended to make approved business information publicly discoverable. Subscribers should therefore submit for publication only information suitable for public disclosure.

Published Listings may be viewed by the public, displayed in search results, indexed or cached by recognised search engines, linked to or shared by Users, and promoted by Moris Konekte in accordance with the applicable subscription and Subscriber Agreement.

Moris Konekte cannot completely control how information intentionally made public is subsequently viewed, remembered, linked to or independently processed by third parties. Public availability does not, however, give third parties permission to scrape, harvest or commercially exploit the Moris Konekte directory.

9. Subscriber Content and licence to Moris Konekte

Subscribers retain ownership of their business names, trademarks, logos, photographs, descriptions, brochures, catalogues and other original materials supplied by them. Submission of Subscriber Content does not transfer ownership of that content to Moris Konekte.

By submitting content for a Listing, the Subscriber grants Moris Konekte a non-exclusive, worldwide, royalty-free licence during the applicable subscription period to host, store, reproduce, format, display, publish and promote the content as reasonably necessary to operate Moris Konekte, provide the Subscriber's Listing and market Moris Konekte and the Subscriber's presence on it. After expiry or removal, Moris Konekte may retain limited copies for lawful record-keeping, security, evidence or dispute-resolution purposes and may retain historical Moris Konekte communications or promotional materials that were lawfully published during the active subscription. Moris Konekte will not create new promotional uses of Subscriber Content after expiry unless the Subscriber renews, gives further permission or another lawful basis applies. The Subscriber Agreement contains more detailed terms governing this licence.

10. Moris Konekte intellectual property

The Moris Konekte name, branding, logos, original website content, graphics, visual identity, page design, category structure, navigation, original text, software elements, arrangement of information and original selection and compilation of directory content are owned by or licensed to Konekte (Moris) E-comm Ltd and are protected to the extent provided by applicable intellectual-property laws.

Except where permitted by law or expressly authorised in writing by Moris Konekte, Users may not copy, reproduce, modify, adapt, publish, republish, distribute, sell, licence, frame, commercially exploit or create a competing reproduction of protected Moris Konekte content.

Nothing in this section claims ownership by Moris Konekte over a Subscriber's underlying business name, trademark, logo, photographs or other Subscriber-owned material merely because it appears on the Platform.

11. Prohibition on scraping, harvesting and bulk extraction

The Moris Konekte directory is provided for genuine business discovery and individual business contact. Unless Moris Konekte has given prior written permission, no person may systematically collect, scrape, crawl, harvest, extract, download, copy, monitor, aggregate or otherwise obtain information from Moris Konekte in bulk, whether manually, automatically or through software.

This prohibition includes use of bots, spiders, crawlers, scrapers, scripts, browser automation, automated agents, data-mining tools, unauthorised APIs, artificial-intelligence agents used for systematic extraction or any similar repetitive extraction method.

Without prior written permission, information obtained from Moris Konekte must not be systematically used to:

• create, reproduce, populate or enhance another business directory or competing discovery service;
• build or enrich a commercial database, contact database, prospecting database or lead list;
• collect telephone numbers, WhatsApp numbers, email addresses, locations or other contact information in bulk;
• sell, rent, licence, redistribute or republish Moris Konekte directory information;
• conduct unsolicited bulk marketing, automated messaging, spam or similar mass-contact activity;
• reproduce a substantial collection of Moris Konekte Listings; or
• train, populate or enhance a commercial artificial-intelligence system, machine-learning dataset or similar data product through systematic extraction of Moris Konekte directory content.

The fact that information is publicly visible on Moris Konekte does not constitute permission to harvest, extract, reproduce, redistribute or commercially exploit it in bulk.

12. Technical protection and platform security

Users must not attempt to:

• bypass or defeat technical restrictions, access controls or rate limits;
• circumvent CAPTCHA, bot-prevention systems or other protective measures;
• obtain unauthorised access to non-public information, accounts, systems or servers;
• probe, scan or test the vulnerability of the Platform without written authority;
• introduce malware, malicious code or harmful files;
• overload, disrupt or interfere with the Website or its infrastructure;
• impersonate another person, Subscriber or Moris Konekte representative;
• manipulate search results or Platform functions; or
• use another person's account credentials without authority.

Moris Konekte may use reasonable technical measures to detect, limit and prevent suspected automated extraction, abuse, fraud or security threats, including rate limiting, request monitoring, CAPTCHA, access controls and blocking of suspicious traffic or accounts.

13. Use of contact information

Telephone numbers, WhatsApp numbers, email addresses and other contact information appearing in a Listing are provided primarily so that Users may make genuine enquiries concerning the listed business and its products or services.

Moris Konekte does not authorise its directory to be used as a source for unsolicited bulk marketing, spam or automated mass-contact campaigns.

Where Listing information constitutes personal data relating to an identifiable individual, any third party that independently collects or otherwise processes that information is responsible for ensuring that its own processing complies with applicable data-protection and communications requirements.

14. Prohibited content and conduct

Users and Subscribers must not use Moris Konekte to:

• engage in fraud or deception;
• misrepresent identity, qualifications, authorisation or business status;
• publish knowingly false or misleading information;
• infringe copyright, trademarks or other intellectual-property rights;
• unlawfully invade privacy or disclose confidential information;
• threaten, abuse, harass or defame another person;
• promote unlawful goods, services or activities;
• distribute malware or malicious software;
• send spam or other prohibited communications; or
• otherwise use Moris Konekte contrary to applicable law.

15. Accounts and account security

Where Subscriber accounts are provided, the account holder is responsible for maintaining the confidentiality and security of login credentials and for providing accurate registration information.

Subscribers should promptly notify Moris Konekte if they suspect unauthorised account access or compromised credentials. Moris Konekte may require password changes, verification or temporary restrictions where reasonably necessary to protect an account or the Platform.

16. Subscription plans and subscription term

Certain Moris Konekte services require a paid subscription. The applicable package features, price, payment method, locations included, promotional benefits and other package-specific conditions will be those displayed or communicated when the subscription is purchased or confirmed.

Unless a different period is expressly stated in the applicable offer, promotion or written agreement, a paid Moris Konekte subscription is valid for a fixed period of 12 months.

The subscription period begins on the date the Listing or subscription is activated, or on another commencement date expressly confirmed by Moris Konekte. Subscription fees are charged for the agreed subscription term and are not calculated according to the Subscriber's actual level of use.

Moris Konekte may introduce, amend or discontinue packages for future purchases. A change to future pricing or package structure does not automatically alter a subscription already paid for, unless otherwise agreed or required by law.

17. Payments

Payments may be accepted through the payment methods made available by Moris Konekte. Moris Konekte may use third-party payment or financial-service providers to process transactions.

The Subscriber must provide accurate payment information and must not make payment using an account or payment instrument without authority.

A subscription may be withheld, suspended or discontinued where payment has not been received, has been reversed, disputed or charged back, or is reasonably suspected to be fraudulent. Prices and any applicable taxes or charges will be presented as applicable at the time of purchase.

18. Cancellation, closure and removal of a Listing

A Subscriber may request at any time that its public Listing be unpublished or that its account be closed, including where the business ceases trading or the Subscriber no longer wishes to remain listed.

A request to remove a Listing or close an account does not cancel the original subscription retrospectively and does not create an entitlement to a refund for any unused portion of the subscription.

Where a Subscriber requests removal before the end of the paid subscription period, Moris Konekte will remove or deactivate the public Listing within a reasonable period, but the remaining subscription fee will not be refunded or credited, except where required by applicable law or expressly agreed by Moris Konekte.

Account closure does not affect payment, intellectual-property, data-protection, legal-retention or other obligations that arose before closure.

19. Refund policy

Except where required by applicable law or expressly stated otherwise by Moris Konekte, subscription fees are non-refundable once the subscription has been purchased and activated.

No full, partial or pro-rata refund will normally be provided because:

• the Subscriber decides to stop using Moris Konekte;
• the Subscriber requests early removal of its Listing;
• the business closes or ceases trading;
• the Subscriber changes its marketing strategy;
• the Subscriber does not use some or all features available under its package;
• the Subscriber does not receive the number of enquiries, leads, customers or sales it expected; or
• the Subscriber chooses not to continue with Moris Konekte during the paid subscription period.

Payment corrections and limited exceptions

Moris Konekte may issue an appropriate refund, correction or credit where:

• a payment has been duplicated;
• an incorrect amount has been charged;
• a payment has been taken in error;
• Moris Konekte is unable to activate or materially provide the purchased subscription for reasons attributable to Moris Konekte; or
• a refund is required by applicable law.

Where Moris Konekte refuses or cancels a Listing because the Subscriber supplied false or misleading information, lacked authority to submit the Listing, engaged in unlawful activity or materially breached these Terms or the Subscriber Agreement, Moris Konekte may refuse a refund to the extent permitted by law.

20. Expiry and renewal reminder

Moris Konekte subscriptions do not renew automatically unless a different renewal arrangement has been expressly agreed in writing.

Approximately one month before the subscription expiry date, Moris Konekte will ordinarily send a renewal reminder to the email address associated with the Subscriber's account. The reminder will inform the Subscriber that the subscription is approaching expiry and explain how to renew.

The Subscriber is responsible for keeping its contact details current. Failure to receive a reminder because of an incorrect email address, spam filtering, delivery failure or another technical reason does not automatically extend the subscription period.

Renewal requires positive action by the Subscriber and payment of the applicable renewal fee. Unless otherwise expressly agreed, renewal will be based on the packages, prices and conditions applicable at the time of renewal. Previous discounts or promotional benefits do not automatically carry forward.

21. 30-day renewal grace period

If the subscription is not renewed by the expiry date, the paid subscription will expire and no new subscription fee will automatically be charged. Moris Konekte will allow a 30-day renewal grace period after the expiry date.

During the grace period, Moris Konekte will ordinarily send further email reminders and attempt to contact the Subscriber by telephone using the contact information associated with the account. Moris Konekte may also send a final notice indicating the planned Listing removal date.

The existing Listing may remain publicly visible during the grace period unless the Subscriber asks for removal or Moris Konekte has another reasonable basis to restrict it. The subscription will nevertheless be treated internally as expired during this period, and Moris Konekte may limit paid features where reasonably necessary.

If the Subscriber renews during the 30-day grace period, the renewed subscription term will normally run continuously from the original expiry date so that the grace period does not create an additional free subscription period.

22. Deletion after the grace period

If, at the end of the 30-day grace period, no renewal payment or alternative written arrangement has been received, the expired Listing will be removed from the public Moris Konekte directory and deleted from the active listing system.

A former Subscriber who returns after its Listing has been deleted may be required to purchase a new subscription and resubmit or reconfirm its business information. In that case, the new subscription period will begin on the new activation date unless otherwise agreed.

Records retained after Listing deletion

Deletion of the public Listing does not require Moris Konekte to immediately delete every record relating to the former subscription. Moris Konekte may retain limited information where reasonably necessary for accounting and tax records, payment and transaction history, evidence of contractual or electronic acceptance, fraud prevention, security, complaints or disputes, legal claims, or compliance with legal and regulatory obligations.

Such information will be retained only for as long as reasonably necessary for the relevant purpose and handled in accordance with the Moris Konekte Privacy and Data Protection Notice and applicable law.

23. Promotions, free months and discount codes

From time to time, Moris Konekte may offer promotional prices, free months, discount codes, launch offers or other incentives. The specific conditions communicated with a promotion form part of these Terms for the person using that promotion.

Unless expressly stated otherwise:

• a promotion applies only during the stated promotional period;
• conditions attached to the promotion must be satisfied;
• promotional discounts and free periods apply only to the subscription for which they were offered;
• they do not create a permanent entitlement to the same discount at renewal;
• they have no cash or refund value; and
• Moris Konekte may refuse or withdraw a promotion obtained through fraud, manipulation, duplicate registrations or other misuse.

Where a promotion adds free months to a subscription, the expiry date confirmed to the Subscriber will reflect the total promotional subscription period.

24. Search results, categories and featured visibility

Moris Konekte may organise businesses by category, sub-category, location, relevance, subscription features or other Platform criteria. Categories and classifications are intended to help Users navigate the Platform and do not constitute professional accreditation or legal classification.

Search positions and Listing presentation may change over time. Some packages or promotional arrangements may provide enhanced presentation or featured visibility where expressly included in the applicable package. Featured or enhanced visibility does not constitute a guarantee concerning the quality of the business or a guarantee of a particular search position.

25. No guarantee of results

Moris Konekte provides business-discovery and visibility opportunities. It does not guarantee any particular number of website visitors, enquiries, telephone calls, WhatsApp messages, leads, customers, transactions, sales, revenue, search-engine rankings, conversion rates, media coverage or return on subscription fees.

Any future media, promotional, spotlight, editorial or communication opportunities are subject to availability, suitability, editorial review and any applicable written arrangement.

26. Information about listed businesses

Moris Konekte relies significantly on information provided by Subscribers and other authorised sources. Although Moris Konekte may review information and request corrections or supporting information, it cannot guarantee that every statement in every Listing is complete, current or independently verified at all times.

Users should make their own enquiries before relying on material information concerning a business, particularly where a transaction involves significant cost, regulated or professional services, safety or other important considerations.

Listed businesses remain responsible for their own goods, services, prices, quotations, professional advice, warranties, representations and contractual commitments to customers.

27. Transactions between Users and listed businesses

Any enquiry, quotation, appointment, purchase, service agreement, payment or other transaction entered into directly between a User and a listed business is ordinarily between those parties.

Unless Moris Konekte expressly agrees otherwise in writing, Moris Konekte is not responsible for the performance, quality, fulfilment, advice, warranties, cancellations or payment disputes arising directly between a User and a listed business, except to the extent that liability cannot lawfully be excluded.

28. Third-party websites and services

Listings may contain links to websites, maps, social-media profiles, messaging applications, payment services or other platforms operated independently by third parties. Those services are governed by their own terms and privacy practices.

Moris Konekte is not responsible for the availability, security, content, privacy practices or terms of independent third-party services merely because a link is available through Moris Konekte.

29. Reporting incorrect, unlawful or infringing content

A person who believes that a Listing contains incorrect information, impersonates a business or individual, uses intellectual property without authority, unlawfully publishes personal or confidential information, promotes unlawful activity or otherwise breaches these Terms may contact Moris Konekte at info@moriskonekte.com.

The report should contain sufficient information to identify the relevant Listing and explain the concern. Moris Konekte may request reasonable evidence of identity, authority or ownership before modifying or removing disputed information and may temporarily restrict content while a genuine dispute is investigated.

30. Privacy and data protection

Personal data processed by Moris Konekte is governed by the Moris Konekte Privacy and Data Protection Notice and applicable data-protection law. The Notice explains the categories of information collected, purposes of processing, public Listings, sharing, international transfers, retention, security, cookies and applicable data-subject rights.

The Privacy and Data Protection Notice should be read together with these Terms.

31. Website availability and changes to the Platform

Moris Konekte aims to maintain a reliable Platform but does not guarantee uninterrupted or error-free availability. The Website or particular features may occasionally be unavailable because of maintenance, upgrades, technical faults, cybersecurity measures, hosting or telecommunications failures, third-party service failures or events beyond Moris Konekte's reasonable control.

Moris Konekte may modify, improve, replace, restrict, suspend or discontinue Platform features where reasonably necessary, provided that material changes affecting an active paid Subscriber are handled in accordance with the applicable subscription terms and law.

32. Suspension, restriction and termination

Moris Konekte may restrict, suspend or terminate access to an account or Listing where reasonably necessary because of:

• breach of these Terms or the Subscriber Agreement;
• non-payment, payment reversal or suspected fraud;
• unauthorised scraping, harvesting or extraction;
• security threats or attempted unauthorised access;
• infringement of third-party rights;
• unlawful activity;
• materially inaccurate or misleading Listing information;
• lack of authority to represent the listed business;
• abusive conduct; or
• legal, regulatory or serious platform-protection requirements.

Where appropriate and reasonably practicable, Moris Konekte may give the affected Subscriber an opportunity to correct the issue. Serious fraud, cybersecurity threats, unlawful conduct or urgent risks may justify immediate action.

33. Enforcement against scraping and misuse

Where Moris Konekte reasonably suspects unauthorised scraping, harvesting, bulk extraction, directory reproduction, cybersecurity abuse or other misuse, it may take reasonable protective action, including:

• limiting requests or blocking access;
• suspending accounts;
• preserving relevant technical and security records;
• investigating usage patterns;
• requesting cessation of prohibited activity or deletion of improperly obtained material;
• contacting the responsible organisation, hosting provider or service provider;
• enforcing applicable contractual or intellectual-property rights; and
• referring appropriate matters to competent authorities where warranted.

Use of technical protection does not waive Moris Konekte's contractual, intellectual-property, data-protection or other legal rights.

34. Disclaimer and limitation of liability

To the maximum extent permitted by applicable law, the Website and directory are provided on an "as available" basis. Moris Konekte does not warrant that information supplied by third-party businesses will always be complete, accurate or current, or that the Platform will always be uninterrupted or free from technical errors.

Moris Konekte will not be responsible merely because a User chooses to contact or transact with a listed business, a listed business does not respond, a Subscriber fails to update its details, an independent third-party service becomes unavailable, a Subscriber does not obtain expected business results, or a User independently relies on inaccurate information supplied by a listed business.

To the extent permitted by law, Moris Konekte will not be liable for indirect, consequential or purely economic loss arising from the independent acts or omissions of a listed business or User. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

35. Responsibility for breach

To the extent permitted by applicable law, a User or Subscriber is responsible for reasonably foreseeable claims, losses or reasonable costs arising from that person's own unlawful use of Moris Konekte, material breach of these Terms, unauthorised submission of third-party content, infringement of third-party rights, unlawful disclosure of personal or confidential information, fraud, unauthorised scraping or deliberate interference with Platform security.

This section does not make a User or Subscriber responsible for loss caused by Moris Konekte itself where liability cannot lawfully be transferred or excluded.

36. Electronic acceptance and communications

Where Moris Konekte requires a User or Subscriber to tick an acceptance box, submit an online form, confirm acceptance electronically, reply to an acceptance email or complete another electronic acceptance process, that electronic action may be recorded as evidence of the relevant acceptance.

Moris Konekte may retain reasonable records showing the account or business involved, the date and time of acceptance, the version of the terms presented, the acceptance action taken and related transaction or technical records where appropriate.

Subscribers agree that routine contractual, account, service, renewal and administrative communications may be sent electronically to the email address or other contact details associated with their account.

37. Changes to these Terms

Moris Konekte may update these Terms where reasonably necessary to reflect changes to the Platform, new services or features, security requirements, business practices, legal or regulatory developments, or clarification of existing provisions.

The current version will be published on www.moriskonekte.com with its latest revision date. Where a material change significantly affects an existing paid Subscriber's contractual rights or obligations, Moris Konekte will use reasonable means to communicate the change where required or appropriate.

Changes will not retrospectively remove rights that have already accrued where doing so would be unlawful.

38. Severability

If any provision of these Terms is held to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the extent necessary and the remaining provisions will continue to apply to the extent legally possible.

39. No waiver

If Moris Konekte does not immediately enforce a provision of these Terms, this does not mean that Moris Konekte has permanently waived the right to enforce that provision or any other provision later.

40. Governing law and disputes

These Terms and the use of Moris Konekte are governed by the laws of the Republic of Mauritius.

Users and Moris Konekte should first attempt to resolve complaints or disputes through good-faith communication.
