Agreement version 1.0 | Effective for the subscription identified below
Important: This Agreement is sent to the Subscriber after successful registration/payment as a record of the subscription and the terms governing the relationship with Moris Konekte. The Subscriber’s electronic declarations and acceptance completed before payment, together with the subscription transaction and activation, form part of this Agreement. A second signature is not required unless Moris Konekte specifically requests one.

This Agreement should be read together with the documents and information that formed part of the Subscriber’s registration and purchase, including:
- the Moris Konekte Website Terms & Conditions;
- the Moris Konekte Privacy & Data Protection Notice;
- the Subscriber Declaration & Authorisation accepted electronically before payment;
- the package description, price and promotional conditions presented or confirmed at the time of purchase; and
- the Subscription Confirmation appearing in this Agreement.
If there is a direct conflict, the Subscription Confirmation and any specific written offer accepted by the Subscriber will govern the plan, price, promotional period, activation date and expiry date. This Subscriber Agreement will govern Subscriber-specific contractual matters. The Website Terms & Conditions will continue to govern use of the Platform generally, and the Privacy & Data Protection Notice will govern Moris Konekte’s processing of personal data. Mandatory provisions of applicable law prevail in all cases.
3. Purpose of the Agreement and the Moris Konekte service
Moris Konekte operates an online business discovery platform designed to help consumers and other users discover, locate, understand and contact businesses and professionals. Moris Konekte will create and operate the Subscriber’s Listing using information and materials supplied or approved by the Subscriber, subject to the purchased package and these contractual documents.
Moris Konekte is a discovery and information platform. It does not become the Subscriber’s agent, employee, partner, professional representative or seller merely because the Subscriber is listed on the Platform, and it is not a party to transactions entered into directly between the Subscriber and its customers.
4. Subscription term and activation
Unless a different period is expressly stated in the Subscription Confirmation, applicable promotion or other written offer, the paid subscription is for a fixed period of 12 months.
The subscription begins on the Activation Date stated in the Subscription Confirmation and ends on the stated Expiry Date. Subscription fees are charged for the agreed subscription period and are not calculated according to the Subscriber’s actual level of use of the Platform.
The Subscriber will receive the features included in the purchased package during the active subscription period, subject to payment, these contractual documents, technical availability and any package-specific limitations communicated at purchase.
5. Payments and non-refundable subscription fees
The Subscriber must pay the amount applicable to the purchased package through a payment method accepted by Moris Konekte. Payment records, references and transaction details may be retained for accounting, tax, fraud-prevention, dispute-resolution and other lawful business purposes.
Except where required by applicable law or expressly agreed otherwise by Moris Konekte, subscription fees are non-refundable once the subscription has been purchased and activated.
No full, partial or pro-rata refund will normally be provided because:
- the Subscriber decides to stop using Moris Konekte;
- the Subscriber asks for its Listing to be removed before the expiry date;
- the Subscriber’s business closes or ceases trading;
- the Subscriber changes its marketing strategy;
- the Subscriber does not use some or all features available under the package;
- the Subscriber does not receive the number of enquiries, leads, customers or sales it expected; or
- the Subscriber otherwise chooses not to continue using the Platform during the paid subscription period.
Payment corrections and limited exceptions
Moris Konekte may issue an appropriate refund, correction or credit where a payment was duplicated, an incorrect amount was charged, a payment was taken in error, Moris Konekte is unable to activate or materially provide the purchased subscription for reasons attributable to Moris Konekte, or a refund is required by applicable law.
Where Moris Konekte refuses, suspends or cancels a Listing because the Subscriber supplied false or misleading information, lacked authority to submit the Listing, engaged in unlawful activity or materially breached these contractual documents, Moris Konekte may refuse a refund to the extent permitted by law.
6. Cancellation, business closure and voluntary Listing removal
The Subscriber may ask at any time for its public Listing to be unpublished or its account to be closed, including where the business has ceased trading or no longer wishes to remain listed.
A voluntary removal or closure request does not cancel the original subscription retrospectively and does not create an entitlement to a refund or credit for the unused part of the subscription. Moris Konekte will remove or deactivate the public Listing within a reasonable period after verifying the request where necessary.
Account closure does not affect obligations relating to payment, intellectual property, data protection, legal retention, disputes or events occurring before closure.
7. Renewal, expiry and 30-day grace period
Subscriptions do not renew automatically unless a different arrangement has been expressly agreed in writing.
Approximately one month before the Expiry Date, Moris Konekte will ordinarily send a renewal reminder to the email address associated with the Subscriber’s account. The Subscriber is responsible for keeping its contact details current. Failure to receive a reminder because of an incorrect email address, spam filtering, delivery failure or another technical reason does not automatically extend the subscription.
Renewal requires positive action by the Subscriber and payment of the applicable renewal fee. Unless otherwise expressly agreed, the package, price and conditions applicable at the time of renewal will apply. A previous discount or promotional benefit does not automatically carry forward.
If the subscription is not renewed by the Expiry Date, it will be treated as expired and no new subscription fee will automatically be charged. Moris Konekte will allow a 30-day renewal grace period after expiry.
During the grace period, Moris Konekte will ordinarily send further email reminders and attempt to contact the Subscriber by telephone. Moris Konekte may also send a final notice identifying the planned Listing removal date. The Listing may remain publicly visible during this period unless the Subscriber asks for removal or Moris Konekte has another reasonable basis to restrict it. Paid features may be limited while the subscription is expired.
If the Subscriber renews during the 30-day grace period, the renewed subscription will normally run continuously from the original Expiry Date so that the grace period does not create an additional free subscription period.
8. Deletion after the grace period and return after deletion
If no renewal payment or alternative written arrangement has been received by the end of the 30-day grace period, the expired Listing will be removed from the public Moris Konekte directory and deleted from the active listing system.
If the former Subscriber later wishes to return after the Listing has been deleted, Moris Konekte may require a new subscription and the Subscriber may need to resubmit or reconfirm its business information. Unless otherwise agreed, the new subscription will begin on the new activation date.
Deletion of the public Listing does not require Moris Konekte to immediately erase every record relating to the former subscription. Limited information may be retained where reasonably necessary for accounting, tax, payment records, evidence of contractual acceptance, fraud prevention, security, complaints, disputes, legal claims or other legal or regulatory requirements, in accordance with the Privacy & Data Protection Notice.
9. Information and materials supplied by the Subscriber
The Subscriber may provide business information and materials including its business name, BRN or registration information, description, categories, services, telephone and WhatsApp numbers, email, address, opening hours, logo, photographs, brochures, catalogues, price lists, website and social-media links and other approved materials.
The Subscriber must clearly identify any information that is intended to remain private. Information submitted for the Listing and not identified as private may be treated as proposed public Listing content, subject to Moris Konekte’s review.
10. Subscriber warranties and responsibilities
The Subscriber confirms and agrees that:
- it is authorised to enter into this Agreement and register the business;
- the person who completed the registration and electronic declarations was authorised to act for the business;
- information supplied is accurate, current, lawful and not misleading;
- the Subscriber owns or has the necessary right, licence or permission to use and submit all text, logos, photographs, trademarks, brochures, catalogues, videos and other materials supplied;
- where personal data relating to an individual is supplied for publication, the Subscriber has a lawful basis and any necessary authority to provide and publish it;
- the Subscriber will not submit customer lists, patient information, employee records, children’s information, confidential information or sensitive personal data unless lawful, necessary and expressly accepted by Moris Konekte;
- the Subscriber will keep its Listing information reasonably accurate and notify Moris Konekte promptly of material changes, inaccuracies, withdrawn permissions, suspected unauthorised disclosure or relevant complaints; and
- the Subscriber remains responsible for its own data-protection, consumer, professional, licensing, regulatory and other legal obligations in relation to its business and its customers.
11. Review, formatting and publication of the Listing
Moris Konekte may review submitted content for completeness, suitability, presentation and compliance. Moris Konekte may format, categorise, resize, organise or make reasonable editorial adjustments for consistency, technical compatibility and usability, provided that it does not intentionally misrepresent the substance of the Subscriber’s information.
Moris Konekte may refuse, delay, correct, restrict, suspend or remove content where it reasonably considers the information inaccurate, misleading, unlawful, unauthorised, unsafe, offensive, infringing, fraudulent, inconsistent with platform standards or otherwise in breach of the applicable contractual documents.
Review or publication by Moris Konekte does not constitute independent verification, certification or endorsement of the Subscriber or its goods, services, qualifications or professional capabilities.
12. Public nature of the Listing
The Subscriber understands that approved Listing information is intended to be publicly searchable and may be viewed by members of the public, indexed or cached by recognised search engines, linked to or shared by users, or displayed through third-party services that lawfully index the web.
Moris Konekte cannot completely control how information lawfully made public is subsequently viewed, remembered, shared or independently processed by third parties. The Subscriber should therefore submit only contact details and materials suitable for public disclosure.
Public availability does not give third parties permission to scrape, harvest, bulk-copy or commercially exploit Moris Konekte’s directory. Moris Konekte’s Website Terms & Conditions prohibit such activity and Moris Konekte may use reasonable technical and legal measures to protect the Platform. Moris Konekte cannot guarantee that every unauthorised act of copying, scraping or misuse will be prevented or detected.
13. Subscriber Content licence
The Subscriber retains ownership of its business name, trademarks, logos, photographs, descriptions, brochures, catalogues and other original materials supplied by or on behalf of the Subscriber.
The Subscriber grants Moris Konekte a non-exclusive, worldwide, royalty-free licence during the applicable subscription period to host, store, reproduce, format, resize, display, publish, distribute and promote Subscriber Content as reasonably necessary to operate the Platform, provide and promote the Subscriber’s Listing and market Moris Konekte.
This licence allows Moris Konekte to use approved Subscriber Content in Moris Konekte communications such as website features, social-media posts, newsletters, business spotlights or similar promotional material where consistent with the applicable package or programme. It does not transfer ownership of the Subscriber Content to Moris Konekte.
After expiry or removal, Moris Konekte may retain limited copies where reasonably necessary for legal, accounting, security, fraud-prevention, evidence or dispute-resolution purposes. Historical Moris Konekte communications or promotional materials that were lawfully published during the active subscription may remain available after expiry, subject to applicable law and any agreed removal request. Moris Konekte will not create new promotional uses of Subscriber Content after expiry unless the Subscriber renews, gives further permission or another lawful basis applies.
14. Moris Konekte intellectual property and directory protection
Moris Konekte retains all rights it holds in its own name, branding, logos, original text, graphics, visual design, category structure, website layout, software, selection and arrangement of information and original compilation of directory content.
The Subscriber must not use the Moris Konekte Platform to scrape, harvest, bulk-extract, reproduce or commercially exploit other Listings or directory information except as expressly permitted by the Website Terms & Conditions or authorised in writing by Moris Konekte.
Nothing in this section transfers ownership of the Subscriber’s own intellectual property to Moris Konekte.
15. Moris Konekte responsibilities
Moris Konekte will:
- use Subscriber information for operating, administering, supporting, securing, promoting and improving the Platform and the Subscriber’s Listing in accordance with the applicable contractual documents;
- take reasonable technical and organisational steps to protect account and personal information under its control;
- use service providers where reasonably necessary for hosting, technology, communications, payments, support, security, analytics or professional services, subject to applicable safeguards;
- respond reasonably to requests concerning Listing corrections, restrictions, removals and privacy matters;
- maintain reasonable records of the subscription and electronic acceptance; and
- apply its Terms and platform protections reasonably in response to suspected misuse, unlawful content or security risks.
16. Data protection roles and lawful processing
For personal data Moris Konekte collects for accounts, subscriptions, payments, support, security, communications and platform administration, Moris Konekte acts as the controller responsible for its own processing in accordance with the Mauritius Data Protection Act 2017 and other applicable law.
Where the Subscriber supplies personal data for publication or Listing management, the Subscriber remains responsible for establishing its lawful authority to provide that information. Moris Konekte will process the information for the agreed Listing, platform and related purposes described in the Privacy & Data Protection Notice and this Agreement.
The parties will cooperate reasonably in relation to legitimate data-subject requests, regulatory enquiries, complaints and security incidents concerning information supplied under this Agreement.
17. Privacy requests, correction and removal
The Subscriber may request correction, restriction or removal of Listing information by contacting info@moriskonekte.com. Moris Konekte may request reasonable identity or authority verification before acting.
Removal of public content does not affect information that Moris Konekte is required or reasonably entitled to retain for legal, accounting, tax, fraud-prevention, security, evidence, dispute-resolution or legal-claims purposes. Personal data will be handled in accordance with the Privacy & Data Protection Notice and applicable law.
18. Security incidents
Each party should notify the other without undue delay after becoming aware of a material security incident affecting personal data supplied under this Agreement where the incident may affect the other party’s rights or obligations. The parties will cooperate reasonably in investigating the incident, containing the risk and making any notification required by applicable law.
Moris Konekte will apply the personal-data breach requirements applicable to it under the Mauritius Data Protection Act 2017.
19. Account security and communications
The Subscriber is responsible for maintaining the confidentiality of account credentials and for providing accurate account contact information. The Subscriber should notify Moris Konekte promptly if it suspects unauthorised access to its account.
Moris Konekte may send necessary contractual, payment, account, security, service, expiry and renewal communications using the Subscriber’s registered contact details. These service communications are separate from optional marketing communications.
Where the Subscriber has separately consented to optional marketing, that consent may be withdrawn through the method provided by Moris Konekte. Withdrawal of optional marketing consent does not prevent Moris Konekte from sending necessary service or contractual communications relating to the subscription.
20. Third-party links, services and customer transactions
A Listing may contain links to websites, social-media profiles, maps, messaging applications, payment services or other services controlled by third parties. Moris Konekte is not responsible for the availability, security, content, privacy practices or contractual terms of independent third-party services merely because a link is displayed on the Platform.
Any enquiry, quotation, appointment, purchase, payment, service agreement or other transaction entered into directly between the Subscriber and a user is ordinarily between those parties. The Subscriber remains responsible for its own goods, services, prices, representations, warranties, customer service, professional advice and legal obligations.
21. No guarantee of results
Moris Konekte provides visibility and business-discovery opportunities. It does not guarantee a particular number of visitors, enquiries, calls, WhatsApp messages, leads, customers, transactions, sales, revenue, search rankings, conversion rates, media exposure or return on subscription fees.
Any future business feature, newsletter, video, media, spotlight or other promotional opportunity that is not expressly guaranteed as part of the purchased package remains subject to availability, suitability, editorial review and any applicable programme conditions or separate written arrangement.
22. Complaints and disputed Listing content
The Subscriber should notify Moris Konekte promptly if it believes a Listing contains incorrect information, uses material without authority, infringes rights, exposes confidential information or otherwise requires review. Moris Konekte may request supporting information and may temporarily restrict disputed content while a genuine issue is investigated.
23. Suspension and termination by Moris Konekte
Moris Konekte may restrict, suspend or terminate an account or Listing where reasonably necessary because of:
- non-payment, payment reversal or suspected fraud;
- a material breach of this Agreement or the Website Terms & Conditions;
- false, misleading, unlawful or unauthorised information;
- infringement of third-party intellectual-property, privacy or other rights;
- unauthorised scraping, harvesting or extraction;
- security threats, attempted unauthorised access or platform abuse;
- lack of authority to represent the listed business;
- abusive conduct;
- unlawful business activity; or
- legal, regulatory or serious platform-protection requirements.
Where appropriate and reasonably practicable, Moris Konekte may give the Subscriber an opportunity to correct the issue. Serious fraud, cybersecurity threats, unlawful conduct or urgent risks may justify immediate action.
Suspension or termination does not remove obligations relating to payment, confidentiality, intellectual property, data protection, indemnity, legal retention, disputes or events occurring before termination.
24. Subscriber responsibility and indemnity
To the extent permitted by law, the Subscriber is responsible for claims, losses and reasonable costs arising from its material breach of this Agreement, including unauthorised submission or publication of personal data, infringement of third-party rights, false or misleading Listing content, unlawful business activity, fraud or deliberate misuse of the Platform.
This clause does not make the Subscriber responsible for loss caused by Moris Konekte itself where responsibility cannot lawfully be transferred or excluded.
25. Limitation of Moris Konekte liability
To the maximum extent permitted by applicable law, Moris Konekte is not responsible for the independent acts or omissions of users, listed businesses, search engines, third-party websites or other services outside Moris Konekte’s reasonable control.
Moris Konekte will not be liable merely because a user chooses to contact or transact with the Subscriber, a user does not respond, a third-party service becomes unavailable, publicly listed information is lawfully indexed by a search engine, the Subscriber does not achieve expected business results, or the Subscriber supplied information that later proves inaccurate or out of date.
To the extent permitted by law, Moris Konekte will not be liable for indirect or consequential loss arising from the independent acts or omissions of a Subscriber, user or third party. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
26. Platform availability and events outside reasonable control
Moris Konekte aims to maintain a reliable Platform but does not guarantee uninterrupted or error-free availability. Temporary interruptions may result from maintenance, upgrades, technical faults, hosting or telecommunications failures, cybersecurity measures, third-party service failures or events outside Moris Konekte’s reasonable control.
Moris Konekte will use reasonable efforts appropriate to the circumstances to restore affected services but temporary interruption does not, by itself, create an entitlement to a refund where the subscription as a whole continues to be materially provided.
27. Changes to information, policies and the service
The Subscriber must keep its Listing information current. Moris Konekte may update its Privacy & Data Protection Notice, Website Terms & Conditions, platform policies, technical systems, package structures or Listing procedures where reasonably necessary.
Material changes affecting an existing Subscriber will be communicated through the account email or another reasonable channel where appropriate or required. A change will not retrospectively remove rights that have already accrued where doing so would be unlawful.
28. Notices and contact
The Subscriber should send contractual, account, Listing and privacy notices to info@moriskonekte.com unless Moris Konekte has provided another dedicated contact channel.
Moris Konekte may send notices to the email address, telephone number or other contact details associated with the Subscriber’s account. The Subscriber is responsible for keeping those details current.
29. Governing law and disputes
This Agreement is governed by the laws of the Republic of Mauritius.
The parties will first attempt to resolve complaints or disputes through good-faith communication. Where a dispute cannot be resolved informally, it will be dealt with by the competent courts or authorities of Mauritius, subject to any mandatory rights or procedures provided by applicable law.
Nothing in this Agreement prevents a person from exercising a statutory right or making a complaint to the Mauritius Data Protection Commissioner or another competent authority where applicable.
30. Electronic acceptance and evidence of agreement
Before payment, the Subscriber was required to complete the Moris Konekte Subscriber Declaration & Authorisation and accept the applicable Website Terms & Conditions and Privacy & Data Protection Notice through the online registration process.
The Subscriber acknowledges that Moris Konekte may retain records showing the business or account involved, the date and time of acceptance, the version of the documents presented, the declarations accepted, payment information and related technical or transaction records as evidence of the subscription and electronic acceptance.
This Agreement is provided after successful registration/payment as the Subscriber’s contractual record. A handwritten signature is not required for the Agreement to apply where the Subscriber has validly accepted the relevant terms electronically, unless a signature is specifically required by law or separately requested by Moris Konekte.
31. Entire relationship, severability and no waiver
This Agreement, together with the documents identified in Section 2 and any specific written subscription confirmation or offer, records the contractual framework applicable to the Subscriber’s Moris Konekte subscription.
If a provision is held unlawful, invalid or unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will continue to apply to the extent legally possible.
A delay or failure by either party to enforce a provision does not, by itself, constitute a permanent waiver of that provision or of the right to enforce it later.
Subscriber record of acceptance
The Subscriber’s acceptance is evidenced through the online Subscriber Declaration & Authorisation, the recorded acceptance of the Website Terms & Conditions and Privacy & Data Protection Notice, and the corresponding subscription/payment record. This copy should be retained by the Subscriber for its records.
